The immediate past Managing Director of SIC Insurance Company Limited, Ms. Hollistar Duah-Yentumi, has filed a lawsuit against the company and its newly appointed MD, James Agyenim-Boateng, contesting her removal from office.
Her legal action follows the announcement by President John Dramani Mahama on January 27, appointing Mr. Agyenim-Boateng as her successor. However, Ms. Duah-Yentumi has challenged this decision, arguing in a February 4 lawsuit that her appointment was contractually secured until January 1, 2028.
Legal ClaimsIn her lawsuit, Ms. Duah-Yentumi asserts:
“Under and by virtue of the agreement, the Plaintiff’s tenure as the Managing Director is for a period of four years, thus expiring on the 1st day of January 2028 or soon thereafter as may be agreed upon by the Board of Directors of the 1st Defendant and the Plaintiff.”
She maintains that her employment terms are strictly governed by the signed employment agreement with SIC Insurance.
Additionally, she argues that her removal violates contractual procedures, stating:
“Regarding the termination of the Plaintiff’s employment, Plaintiff states that under and by virtue of clause 7 of the agreement, the Plaintiff’s employment may only be terminated by the board of directors of the 1st Defendant or by all the shareholders of the company acting at an Annual General Meeting for the said purpose.”
Court DemandsMs. Duah-Yentumi is seeking the High Court’s intervention to:
Declare her dismissal unlawful and in breach of her employment contract.
Rule that the appointment of Mr. Agyenim-Boateng as MD is invalid.
Order full payment of her salary and benefits for the remainder of her contract term.
